Terms of Sale & License Agreement
1. Parties
Licensor: BaseUp Labs, contact: support@baseuplabs.com or or visit our help desk at https://www.odoo.com/app/helpdesk.
Licensee: the individual or organization that purchases or downloads the Module.
2. License Grant
Subject to payment and compliance, we grant a non-exclusive, non-transferable license to use the Module for the number of Odoo instances/sites specified at purchase.
3. Restrictions
Do not copy, redistribute, sublicense, or reverse-engineer the Module except as permitted by law. Obfuscated modules are not provided with source code unless separately agreed.
4. License Keys & Activation

5. Payments, Taxes & Refunds
License keys are emailed after payment. Keys may be bound to host identifiers and must be kept confidential.
6. Updates & Maintenance
We provide updates and bug fixes as described on the product page. Major version upgrades may be sold separately.

Support is provided by email: support@baseuplabs.com or visit our help desk at https://www.odoo.com/app/helpdesk.
Modules are delivered electronically with a license key and installer instructions.
8. Warranty Disclaimer
THE MODULE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
IN NO EVENT SHALL BASEUP LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE MODULE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; OR (C) ANY BUGS, VIRUSES, OR THE LIKE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE MODULE.
10. Termination
This license is effective until terminated. We may terminate your license immediately if you breach any term of this agreement. Upon termination, you must cease all use and destroy all copies of the Module.
11. Intellectual Property
All rights, title, and interest in and to the Module, including all intellectual property rights, remain with BaseUp Labs. This agreement does not grant you any rights to trademarks or service marks.
12. Data Privacy
We collect and process personal data (email, payment info, installation data) in accordance with our Privacy Policy. License keys may phone home for activation validation. By using the Module, you consent to this data collection.
13. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of the Philippines.
14. Modifications
We reserve the right to modify these terms at any time. Continued use of the Module after changes constitutes acceptance of the modified terms.
